Terms of Service

01About Chakravala

Chakravala ("Chakravala", "we", "us") is a technology platform that provides backtesting, paper trading, signal automation and algorithmic execution tools for Indian options markets. We are not a SEBI-registered stock broker, investment advisor, research analyst, or portfolio manager. All real-money order placement is performed by your own connected broker (currently Zerodha Kite); Chakravala is the software layer that sends those instructions on your behalf.

02Eligibility

• You are at least 18 years old.
• You are a resident of India and legally permitted to trade Indian securities.
• You have a valid PAN, KYC-compliant Zerodha account, and the authority to connect it to third-party software.
• You understand that derivatives trading is a high-risk activity and that you can lose all of your invested capital, and potentially more.

03Your account and security

You are responsible for safeguarding your login credentials, broker API tokens, and any device that has an active session. You must notify us immediately at support@chakravala.com if you suspect unauthorised access. We are not liable for losses arising from your failure to keep your credentials secure.

04Subscription, fees & refunds

• Subscription fees (one-time and monthly) are billed in advance via Razorpay or a manual UPI/UTR flow.
• Subscription fees are refundable only for technical service failures attributable to Chakravala, and only when claimed in writing within seven (7) days of the failure.
• Trading losses are never refundable. Profitability is not guaranteed and is not part of the service you are purchasing.
• Subscriptions auto-renew on the billing date; you may cancel future renewals from your account at any time.

05What we provide — and what we don't

Chakravala provides software for: strategy creation, backtesting, paper-trade simulation, signal automation, real-time order execution via your broker, dashboards, and notifications.

Chakravala does not provide: personalised investment advice, portfolio management, guaranteed returns, tax advice, or any recommendation regarding the securities you should trade. The presence of historical performance, backtest equity curves, or signal track records does not constitute a prediction or promise of future results.

06Acceptable use

You agree not to:

• Use the platform for any unlawful purpose, including market manipulation, insider trading, or money laundering.
• Attempt to reverse engineer, scrape, or otherwise extract our source code, models, or signal logic.
• Resell, sub-license, or commercially redistribute any part of the platform without our written consent.
• Bypass rate limits, security controls, or the broker's order-validation rules.
• Misrepresent your identity, KYC details, or financial capacity.

07Algorithmic execution & user authorisation

When you connect a broker account and enable a LIVE strategy, Chakravala Prime, or any automated execution feature, you explicitly authorise Chakravala to place, modify and cancel orders on your broker account on your behalf, in accordance with the configured strategy or signal feed. You retain full responsibility for these orders, their outcomes, and any margin, brokerage, STT, GST, or statutory charges your broker applies.

08No investment advice

Signals, strategies, and any commentary surfaced inside Chakravala are provided for informational and educational purposes only. They are not a recommendation, solicitation or offer to buy or sell any security. You alone are responsible for deciding whether to enable any feature, and for the consequences of doing so. Past performance shown anywhere in the platform is historical and is not indicative of future results.

09Service availability

We aim for high uptime but do not guarantee uninterrupted access. Trading sessions may be unavailable due to scheduled maintenance, infrastructure failures, broker outages, exchange-side issues, or events beyond our control. Chakravala is not liable for any losses arising from such interruptions.

10Disclaimer of warranties

The platform is provided "as is" and "as available", without warranties of any kind, express or implied, including merchantability, fitness for a particular purpose, accuracy of data, or non-infringement. Backtest results may not reflect actual market conditions due to slippage, liquidity constraints, broker rejections, or data gaps.

11Limitation of liability

To the maximum extent permitted by Indian law, Chakravala, its founders, officers, employees, contractors and affiliates shall not be liable for any direct, indirect, incidental, consequential, special or punitive damages — including loss of profits, trading losses, lost data or business interruption — arising from your use of the platform, even if advised of the possibility of such damages. Our aggregate liability for any claim shall not exceed the amount you paid Chakravala in the twelve (12) months preceding the event giving rise to the claim.

12Indemnification

You agree to indemnify and hold harmless Chakravala against any third-party claim, demand or damages (including reasonable legal fees) arising from (a) your use of the platform, (b) your violation of these Terms, (c) your breach of any law or regulation, or (d) your infringement of any third-party right.

13Termination

We may suspend or terminate your account at any time for breach of these Terms, suspected fraudulent activity, regulatory direction, or non-payment. You may terminate your account at any time by writing to support. Termination does not refund any prepaid subscription fees beyond what is required by Section 4.

14Changes to these Terms

We may update these Terms from time to time. The "Effective date" at the top of this page reflects the latest revision. Material changes will be notified to you by email and/or an in-app notice. Continued use after the effective date constitutes acceptance of the new Terms.

15Governing law & jurisdiction

These Terms are governed by the laws of India. The courts at Bengaluru, Karnataka shall have exclusive jurisdiction over any dispute arising in connection with the platform, except where Indian law specifically requires otherwise.
